Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Estimonia mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and Estimonia.

2. Eligibility and Age Requirements

You must be at least 13 years old to use Estimonia. If you are between 13 and 18 years old (or the age of legal majority in your jurisdiction), you may only use the App with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the App, you represent and warrant that you meet these age requirements.

3. Service Description

Estimonia provides AI-powered value estimates for personal items including watches, jewelry, antiques, collectibles, art, and other valuables. Our service uses artificial intelligence and machine learning algorithms to analyze images you provide and generate estimated value ranges based on available market data, historical sales records, and other signals.

Third-Party AI Processing: To generate value estimates, your item photos are sent to third-party AI service providers (such as OpenAI, Anthropic, and Google Gemini) for analysis. Only your photos and analysis instructions are shared with these providers — no personal information (name, email, device ID) is included. Before your first scan, the app will ask for your explicit consent to this data processing. See our Privacy Policy for full details on what data is sent, to whom, and how it is protected.

4. No Guarantee of Accuracy

While we strive to provide helpful and reasonable estimates, we make NO WARRANTY regarding the accuracy, completeness, reliability, timeliness, or suitability of any estimate provided through the App. You acknowledge and agree that:

• AI estimates may be incorrect, incomplete, or outdated
• Actual market values can vary significantly from our estimates
• Estimates do not account for condition nuances, authenticity, provenance, or market timing
• Professional appraisers, dealers, and auction houses may provide different valuations
• You should consult qualified professionals for important decisions involving valuable items

5. User Account and Responsibilities

You may use Estimonia anonymously or create an optional account. If you create an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You also agree that you will:

• Own or have permission to photograph and submit items you scan
• Not upload inappropriate, illegal, offensive, or infringing content
• Not use the App for any unlawful purpose or in violation of these Terms
• Not attempt to reverse engineer, hack, or circumvent the App's security
• Not use automated tools (bots, scrapers) to access the App without permission
• Not impersonate others or misrepresent your affiliation with any person or entity

6. Selling Opt-In and Contact

If you choose to express interest in selling an item through the App, you consent to being contacted by Estimonia or our authorized partners regarding potential purchase or sale opportunities. We will only contact you about items you have explicitly marked for sale consideration. You can withdraw this consent at any time by contacting us or updating your preferences in the App.

7. Intellectual Property Rights

7.1 Your Content

You retain all ownership rights to images and content you upload to Estimonia. By submitting content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, publish, and display your content for the purposes of:

• Providing value estimates and app functionality, including sending your photos to third-party AI service providers (such as OpenAI, Anthropic, and Google Gemini) for analysis
• Operating, maintaining, and improving our services

You acknowledge and consent that your photos may be transmitted to and processed by the third-party AI service providers identified in our Privacy Policy. These providers may process your images solely to return analysis results to Estimonia and are governed by their own privacy policies and data processing agreements.

7.2 Our Content

The App, including its design, functionality, code, algorithms, text, graphics, logos, and other content provided by Estimonia, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services without our express written permission.

8. Prohibited Uses

You agree not to use Estimonia to:

• Value or authenticate stolen, counterfeit, or illegal items
• Facilitate fraud, money laundering, or other illegal activities
• Harass, abuse, or harm others
• Violate any applicable laws or regulations
• Interfere with or disrupt the App or its servers
• Collect user data without consent

9. Account Termination and Suspension

We reserve the right to suspend or terminate your access to Estimonia at any time, with or without cause or notice, including if we believe you have violated these Terms. You may also delete your account at any time through the App settings. Upon termination, your right to use the App will immediately cease, and we may delete your account data in accordance with our Privacy Policy.

10. Disclaimers and Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the maximum extent permitted by law, Estimonia disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding accuracy, reliability, or availability of the App or estimates
• Warranties that the App will be uninterrupted, error-free, or secure
• Warranties regarding third-party services or content

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESTIMONIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP. This includes but is not limited to damages resulting from:

• Decisions made based on our estimates (buying, selling, insuring, disposing of items)
• Inaccurate, incomplete, or delayed estimates
• Loss or theft of items
• Technical errors, bugs, or downtime
• Unauthorized access to your account
• Actions of third parties

IN NO EVENT SHALL ESTIMONIA'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID US IN THE PAST 12 MONTHS (OR $100 IF YOU HAVE NOT PAID US ANYTHING). Some jurisdictions do not allow limitation of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Estimonia, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) content you submit to the App.

13. Third-Party Services and Links

The App may contain links to third-party websites, services, or content. We do not endorse, control, or assume responsibility for any third-party services. Your use of third-party services is at your own risk and subject to their terms and privacy policies.

14. Apple App Store Terms

If you access the App through the Apple App Store, you acknowledge and agree that:

• These Terms are between you and Estimonia only, not with Apple
• Apple has no obligation to provide maintenance or support for the App
• Apple is not responsible for addressing any claims relating to the App
• Apple is a third-party beneficiary of these Terms and may enforce them
• You must comply with the Apple App Store Terms of Service

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice in the App, updating the "Last updated" date, or sending you an email (if you have provided one). Your continued use of the App after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the App.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the App shall be resolved through:

Informal Resolution: Before filing a claim, you agree to contact us to attempt to resolve the dispute informally.

Binding Arbitration: If informal resolution fails, disputes will be resolved by binding arbitration in accordance with the American Arbitration Association rules, rather than in court. The arbitration will be conducted in Delaware or remotely. You and Estimonia agree to waive the right to a jury trial or to participate in a class action.

17. Force Majeure

Estimonia shall not be liable for any failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including acts of God, war, terrorism, pandemics, government actions, natural disasters, internet outages, or failures of third-party services.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published in the App, constitute the entire agreement between you and Estimonia regarding the App and supersede any prior agreements or understandings.
